2. Defendant ARCHER SCHOOL FOR GIRLS (“ARCHER”) is a California nonprofit corporation and a private educational institution, consisting of both a middle and high school, providing classes for girls in grades 6 through 12. Defendant THE ARCHER BOARD OF TRUSTEES (“ABOT”) is the legally constituted governing board of ARCHER with the fiduciary duty to exercise due care in governing, directing and overseeing the activities and affairs of ARCHER, including the selection, supervision and review of the performance of the Head of School as well as other duties designated by Section 5210 of the California Corporations Code. ARCHER’s website further describes ABOT as “keepers of the mission and legal fiduciaries of Archer.”
